We are seeking a collaborative and driven Senior Securities/Corporate Paralegal to join our team.
Reporting to the General Counsel and Corporate Secretary, the Senior Securities/Corporate Paralegal plays a key role in supporting the company’s legal and corporate governance functions. This position is responsible for maintaining corporate records, coordinating Board and committee meetings and minutes, assisting with regulatory and securities filings, and supporting mergers and acquisitions activities. The role also helps ensure the Company meets its legal and regulatory obligations in a timely and organized manner.
KEY RESPONSIBILITIES:
- Assist the General Counsel and Corporate Secretary with coordinating Board of Directors and Board Committee meetings, including preparing and uploading materials to Diligent and coordinating annual shareholder meetings.
- Attend Board, Board Committee, and joint venture committee meetings, as required, and record minutes, action items, directives, and outstanding agenda items.
- Organize, maintain, and administer corporate records, including the Company’s minute books, in coordination with external legal counsel.
- Coordinate the completion of annual Board performance and self‑evaluation assessments.
- Assist with the preparation and review of public disclosure materials, including interim and annual financial statements, MD&A, annual information forms, management information circulars, material change reports, corporate presentations, and news releases.
- Complete and manage regulatory filings on SEDAR+, EDGAR, TMX Link, and the New York Stock Exchange Listings Manager.
- Prepare and file SEDI reports for directors, officers, and other Company insiders.
- Coordinate the completion and filing of annual returns and other required corporate documents for the Company and its subsidiaries, including filings with the BC Corporate Registry, where applicable.
- Distribute monthly Capital Activity Reports from Issuer Online to the Finance department.
- Liaise with the Company’s IT department to support proper records administration and information preservation or destruction, as required.
- Assist in administering the Company’s corporate governance policies and procedures.
- Support the General Counsel and Corporate Secretary with litigation matters, investigations, and related presentations and corporate records.
- Assist with corporate transactions, including mergers and acquisitions and financings, by supporting document drafting, negotiations, due diligence requests, and data room management.
- Coordinate and liaise with external legal counsel, as required.
- Assist with negotiating, drafting, and reviewing a wide range of agreements for the Company and its affiliates.
- Conduct legal research and compile precedents from SEDAR+ and EDGAR.
- Provide administrative and office management support to the General Counsel and Corporate Secretary.
- All other duties and responsibilities as assigned.
QUALIFICATIONS AND SKILL REQUIREMENTS:
- Paralegal diploma or equivalent legal training.
- Minimum 5 years of experience working as a Securities or Corporate Paralegal in a professional environment in Canada, preferably within the natural resources or industrial sectors.
- Experience supporting public companies, including securities compliance and regulatory filings.
- Experience with EDGAR filings and Section 16 reporting requirements is considered an asset.
- Strong working knowledge of legal terminology, corporate governance principles, securities regulation, and business law.
- Ability to remain current with evolving securities laws, governance practices, and regulatory requirements.
- Exceptional attention to detail, accuracy, and organizational skills, with the ability to manage multiple priorities and meet tight deadlines.
- Excellent interpersonal skills, with a demonstrated ability to work effectively with cross‑functional and multicultural teams.
- Strong written and verbal communication skills, with the ability to convey information clearly, professionally, and with discretion.
- Written and verbal fluency in English is required; Spanish language skills are an asset.

Base Salary Range: $85,000 to $105,000. Note that actual base salary is determined by factors such as qualifications, relevant experience, prevailing market conditions for the specific role, and internal equity.
The First Majestic team values collaboration and connectivity; Vancouver-based employees are required to work a minimum of 4 days in our downtown office.
